Please read these Terms of Service ("Terms") carefully before using the services provided by RespondX AI ("Company," "we," "us," or "our"). By accessing our software or using our AI automation services, you ("Client," "you") agree to be bound by these Terms.


1. Services & Eligibility

1.1. Description of Service: RespondX AI provides B2B AI automation services, including but not limited to automated voice calls, messaging, and calendar bookings powered by third-party LLMs (OpenAI, Gemini) and communication tools (Twilio, GoHighLevel). 1.2. Eligibility: This is a Business-to-Business (B2B) service. By using our services, you warrant that you are a business entity or a professional acting in a business capacity and are at least 18 years of age. 1.3. Geographic Restrictions: While we serve a global clientele, you are responsible for ensuring your use of RespondX AI complies with local laws in your specific jurisdiction. Use of the service is prohibited in any region where the use of our third-party AI providers (OpenAI, Gemini) is restricted by law.

2. Payments, Trials, and Refunds

2.1. Subscription & Setup: Fees include a one-time Setup Fee and recurring Monthly or Yearly subscription fees. 2.2. Free Trial & Refund Policy: We offer a 14-day Free Trial prior to your service going live. In alignment with this trial period, we offer a 14-day money-back guarantee. After this 14-day period, all fees paid are non-refundable. 2.3. Failed Payments: We understand that technical issues occur. We allow for two (2) missed or rejected payments. If a payment is rejected for a third time, RespondX AI reserves the right to immediately terminate the contract and suspend all automated services.

3. Intellectual Property

3.1. Agency Property: RespondX AI retains all rights, titles, and interests in the underlying software, "prompt engineering," custom AI configurations, and proprietary workflows created for the Client. 3.2. Client Property: The Client retains ownership of their business data, FAQs, and proprietary business insights provided to train the AI agent. 3.3. Output Ownership: Subject to the Client’s full payment of fees, the transcripts and data generated by the AI agent during the term of service are owned by the Client for their internal business records.

4. User Responsibilities & Prohibited Acts

4.1. Lawful Use: Client agrees to use the service in compliance with all applicable laws, including telecommunications regulations (e.g., TCPA in the US or Ofcom regulations in the UK). 4.2. Prohibited Content: Client shall not use RespondX AI to:

Engage in political campaigning or lobbying.

Distribute adult content or "Not Safe For Work" (NSFW) material.

Conduct mass spamming or unsolicited marketing via SMS or Voice. 4.3. Data Accuracy: Client must provide accurate business FAQs and insights. RespondX AI is not responsible for errors resulting from incorrect information provided by the Client.

5. AI Performance & Limitation of Liability

5.1. Nature of AI: Client acknowledges that AI may occasionally generate "hallucinations" or inaccuracies. While RespondX AI monitors performance and provides updates (weekly or monthly depending on your package), we do not guarantee 100% accuracy in every AI interaction. 5.2. Error Reporting: Client must highlight any performance errors to RespondX AI via email for swift corrective action. 5.3. Limitation of Liability: To the maximum extent permitted by law, RespondX AI shall not be liable for any indirect, incidental, or consequential damages (including loss of business or missed appointments) arising from AI errors. Our total liability is limited to the amount paid by the Client in the three (3) months preceding the claim.

6. Termination

6.1. Termination by Client: You may cancel your subscription at any time; however, no refunds will be issued for the remaining period of the billing cycle. 6.2. Termination by Company: We may suspend or terminate services if you breach these Terms, fail to pay after three attempts, or engage in prohibited acts.

7. Dispute Resolution & Governing Law

7.1. Mandatory Mediation: In the event of a dispute, both parties agree to attempt to resolve the matter through mandatory mediation before pursuing further legal action. 7.2. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Scotland, United Kingdom. The courts of Scotland shall have exclusive jurisdiction over any disputes not resolved via mediation.
